Welcome to BluePlenum. These Terms of Service (“Terms”) govern all business-to-business transactions, wholesale purchases, and commercial inquiries submitted through our website.

By submitting a quotation request, placing an order, or engaging in commercial discussions with BluePlenum, you agree to the following terms.

1. Business Use Only

All products and pricing listed under the “For Business” section are intended for:

  • Distributors

  • Contractors

  • Commercial project developers

  • Retail partners

  • Professional installers

BluePlenum reserves the right to decline orders that are deemed personal, residential retail purchases, or inconsistent with our commercial distribution model.

2. Quotations

All quotations:

  • Are non-binding unless confirmed in writing

  • Are valid for the period specified in the quote

  • Are subject to inventory availability

  • May change based on shipping costs, tariffs, or regulatory updates

Submission of a quote request does not constitute a purchase agreement.

3. Orders & Payment Terms

Orders become effective only after:

  • Written confirmation from BluePlenum

  • Agreed payment terms

  • Deposit or full payment (as specified)

Payment terms may vary based on customer credit approval and order volume.

4. Pricing & Taxes

All pricing:

  • Is provided for business customers

  • May exclude import duties, customs fees, VAT, or local taxes unless otherwise stated

  • Is subject to change without prior notice

Customers are responsible for compliance with local tax regulations in their country.

5. Shipping & Risk of Loss

  • Delivery timelines are estimates and not guaranteed

  • Risk of loss transfers to the buyer upon shipment or as specified in agreed Incoterms

  • Customers are responsible for freight insurance unless otherwise agreed

6. Product Specifications

BluePlenum reserves the right to:

  • Modify product design or specifications

  • Improve performance features

  • Update packaging

Without prior notice, provided such changes do not materially affect functionality.

7. Warranty

Commercial products are covered under the BluePlenum Limited Warranty policy.

Warranty terms:

  • Apply only to properly installed units

  • Require installation by qualified professionals

  • Do not cover misuse, improper installation, or unauthorized modification

Full warranty details are available upon request.

8. Limitation of Liability

BluePlenum shall not be liable for:

  • Indirect or consequential damages

  • Project delays caused by third parties

  • Improper installation or external system failure

Maximum liability shall not exceed the purchase value of the product.

9. Intellectual Property

All trademarks, product names, documentation, and marketing materials remain the property of BluePlenum.

Commercial partners may not reproduce or modify materials without written authorization.

10. Governing Law

These Terms shall be governed by and interpreted under applicable international commercial law and agreed contractual jurisdiction.
